Please read these terms carefully before using the YADex platform

These Terms of Service ("Terms") govern your access to and use of the YADex platform, mobile applications, and related services (collectively, the "Service") operated by Yadexin Business Services Private Limited ("Company", "we", "us", or "our"). By accessing or using the Service you agree to be bound by these Terms.
You must be at least 18 years of age and have the legal authority to enter into contracts on behalf of your business to use the Service. When registering an account you agree to provide accurate, current, and complete information and to keep that information up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
The Service is licensed, not sold. Subject to your compliance with these Terms and timely payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal business operations. You may not:
Access to certain features requires a paid subscription. All fees are quoted in Indian Rupees (INR) and are exclusive of applicable taxes (GST). Subscriptions are billed in advance on a monthly or annual basis as selected at the time of purchase. Fees are non-refundable except as expressly stated in our Refund Policy. We reserve the right to modify pricing with 30 days' prior notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
Your use of the Service is also governed by our Privacy Policy and Data Sharing Policy, which are incorporated into these Terms by reference. You retain ownership of all data you upload to the Service. You grant us a limited licence to process that data solely for the purpose of delivering the Service to you. We implement industry-standard technical and organisational measures to protect your data; however, no method of transmission over the internet is completely secure.
All intellectual property rights in the Service, including software, logos, trademarks, and documentation, are owned by or licensed to the Company. Nothing in these Terms transfers any intellectual property rights to you. Any feedback or suggestions you provide regarding the Service may be used by us without obligation or compensation to you.
The Service integrates with government portals (GST, MCA, Income Tax, EPFO, ESIC, TRACES) and third-party services. These integrations are provided as a convenience. We are not responsible for the availability, accuracy, or terms of those external services. Your use of third-party services is governed by their respective terms and privacy policies.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. COMPLIANCE-RELATED OUTPUTS (TAX CALCULATIONS, FORM FILINGS) ARE PROVIDED FOR ASSISTANCE ONLY AND DO NOT CONSTITUTE PROFESSIONAL LEGAL OR FINANCIAL ADVICE.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.
You agree to indemnify and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any third-party rights.
We may suspend or terminate your access to the Service at any time, with or without cause, upon notice. You may cancel your subscription at any time through your account dashboard; cancellation takes effect at the end of the current billing period. Upon termination, your right to use the Service ceases immediately. We will retain your data for 90 days following termination to allow you to export it, after which it will be deleted.
These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiations. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and, where appropriate, by email. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
